END-USER LICENSE AGREEMENT (EULA)

1. Scope of License

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of [Product Name] solely for your internal business purposes and strictly in accordance with this Agreement.

2. Description of the Application

The Application connects to your Intuit QuickBooks Online company via OAuth 2.0 to sync accounting data and automate business workflows. You authorize this access during sign-in with your Intuit account.

3. Access to QuickBooks Data

  1. The Application retrieves and stores QuickBooks company data (e.g., customers, invoices, payments) that you approve during the OAuth consent flow.
  2. All access and refresh tokens are stored encrypted at rest and transmitted exclusively over TLS.
  3. You may revoke access at any time in your Intuit → App Connections dashboard; this immediately disables data sync in the Application.

4. Your Responsibilities

  • Provide accurate information and keep your Intuit credentials secure.
  • Use the Application only for lawful purposes and in compliance with all applicable laws.
  • Do not reverse-engineer, decompile, disassemble, remove proprietary notices, or use the Application to infringe the rights of Intuit or any third party.

5. Intellectual Property

The Application and all related copyrights, trademarks, and trade secrets are owned by [Company Name]. All rights not expressly granted are reserved. QuickBooks® and Intuit® are registered trademarks of Intuit Inc. Intuit is not a party to this Agreement and assumes no responsibility for the Application.

6. Fees

(Optional—delete if not applicable.) You agree to pay the subscription fees disclosed at purchase. Fees are non-refundable except as required by law.

7. Support and Maintenance

We provide e-mail support at support@your-domain.com Monday–Friday, 9 a.m.–5 p.m. ET, excluding U.S. holidays. Intuit provides no support or maintenance for the Application.

8. Updates

We may deploy patches or new releases that modify or remove features. Unless a separate license accompanies an update, it is governed by this Agreement.

9. Collection and Use of Data

Our practices regarding personal information and QuickBooks data are described in our Privacy Policy. By using the Application you consent to those practices.

10. Warranties and Disclaimers

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Application will be error-free, uninterrupted, or that data will be secure or not lost.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ECEData.top, ITS OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SOFTWARE). OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED USD 100 OR THE FEES YOU PAID DURING THE PREVIOUS TWELVE (12) MONTHS, WHICHEVER IS GREATER.

12. Indemnification

You will defend and indemnify [Company Name] against any claim arising from your misuse of the Application or violation of this Agreement.

13. Term and Termination

This Agreement is effective until terminated. You may terminate at any time by uninstalling the Application and disconnecting it from QuickBooks. We may terminate immediately if you breach any term. Upon termination (i) the license ends and you must cease all use, and (ii) we will delete or de-identify QuickBooks data within thirty (30) days unless legally required to retain it.

14. Governing Law; Dispute Resolution

This Agreement is governed by the laws of the State of [Your State] (excluding conflict-of-laws rules). All disputes will be resolved in the state or federal courts located in [Your County, State], and each party consents to that jurisdiction.

15. U.S. Government Restricted Rights

The software is “commercial computer software” subject to FAR 52.227-19. All U.S. Government users acquire it only with the rights set forth herein.

16. Third-Party Beneficiary

Intuit Inc. is a third-party beneficiary to this Agreement solely to the extent required by Exhibit A of the Intuit Developer Terms and may enforce Sections 3, 5, and 11 against you.

17. Changes to this Agreement

We may modify this Agreement by posting a revised version with a new “Last updated” date. Continued use of the Application after the effective date constitutes acceptance of the revised terms.
